These Terms and Conditions (the “Rewards Terms”) govern your usage of the loyalty programme (the “CodaRewardsProgramme”) rewarding users for purchases made on www.codashop.com and/or its mobile application version/s (“Codashop”). By participating in the Rewards Programme, you consent to and accept these Rewards Terms and agree to be bound by them. Please read the Rewards Terms carefully.
1. Scope and applicability
1.1. As stated above, these Rewards Terms apply to the Coda Rewards Programme (the “Rewards Programme”), as offered by Coda Netherlands Holdings B.V. having its registered address at Strawinskylaan 411, WTC, Tower A, 4th Floor, 1077XX Amsterdam (“Coda”, “we”, “us” or “our”) in the United Kingdom and the European Union (the “Rewards Territories”). Participation in the Rewards Programme shall be subject to these Rewards Terms, which shall apply only to users in the Rewards Territories.
1.2. These Rewards Terms shall be effective alongside the following:
(a) The Terms and Conditions for Codashop and other Coda services (the “Coda Terms”), located here, and under which the Rewards Programme will be understood to be among the “Services” as defined therein; and
(b) Coda’s General Privacy Policy (our “Privacy Policy”), located here.
1.3. Coda may, from time to time, make changes to the Rewards Programme and/or amend these Rewards Terms to comply with changes in applicable laws or regulations, to reflect changes to the Rewards Programme and/or Coda Sides (as defined in the Coda Terms), for security purposes, and/or to reflect changes in our business practices or operations. If a change to these Rewards Terms or the Rewards Programme materially modifies your rights and/or your or our obligations, we will notify you reasonably in advance by posting a notice on Codashop or by some other reasonable method. We may require you to accept the modified Rewards Terms to continue to participate in the Rewards Programme. Your continued participation in the Rewards Programme following any changes to the Rewards Terms and/or Rewards Programme (and, if applicable, the relevant notice period) shall be deemed as your acceptance of the amended Rewards Terms and/or Rewards Programme.
1.4. If you do not agree to these Rewards Terms, the Coda Terms, or the Privacy Policy, you may not participate in the Rewards Programme.
General Terms of the Rewards Programme
1.5. The Rewards Programme allows you to earn points (the “Points”) on purchases you make via Codashop in your Rewards Territory. Points can be earned on purchases of selected items on Codashop (“Qualifying Items”). At any given time, the then-current list of Qualifying Items will be as listed here and/or on the relevant item/product pages on Codashop. In order to earn Points, you must be logged into your Codashop account (the “Coda Account”) and make a purchase of a Qualifying Item on Codashop using an accepted payment method (the “Payment Channel”) which can be found listed in our FAQ pages here. Once a successful purchase of a Qualifying Item has been made, a corresponding number of Points will be credited to your Coda Account in accordance with the Earning Mechanism as defined and explained further in Section 3 below.
1.6. The Points in your Coda Account are specific to the Rewards Territory where you reside. You may only redeem Points for eligible products and/or services offered on Codashop in the Rewards Territory where you reside. You cannot use your Points to redeem products and/or services offered in another country’s Codashop site.
1.7. You may only redeem your Points balance on eligible items on Codashop. You cannot transfer your Points balance between Coda Accounts. Points are not legal tender. Points are for your personal use only and may not be resold, transferred for value, refunded, exchanged for cash, applied to any external account, or offered for sale, lease, gifting or trading.
2. Eligibility and Registration
2.1. To begin earning Points, you must: (i) sign-up for a Coda Account with your email address, mobile phone number or by linking to a supported social media platform account registered to you; and (ii) verify your identity using your email address or mobile phone number.
2.2. Coda is entitled to check your identity (which may include requesting proof of identification), and/or refuse your registration, if: (i) it is required under any applicable anti-money laundering and/or anti-terrorist funding rules and/or regulations and/or for any other legal or regulatory reason; (ii) Coda identifies unauthorised usage of your Coda Account, or (iii) there is a dispute relating to the ownership of your Coda Account.
2.3. In order to participate in the Rewards Programme and use your Points, you represent (i.e., promise) that you are:
(a) 18 years or over and you shall comply with the Rewards Terms and any applicable charges or fees associated with your participation in the Rewards Programme; or
(b) if you are under 18, you acknowledge that permission and consent from a parent or legal guardian to participate in the Rewards Programme is required and, by proceeding to participate in the Rewards Programme, such parent or legal guardian will be deemed to have agreed to these Rewards Terms on your behalf and will be responsible for your participation in the Rewards Programme, including the creation of your Coda Account, your acceptance and compliance with the Rewards Terms, and any applicable charges or fees associated with your use of Rewards Programme; and
(c) not prohibited by any law, condition, ordinance, or other requirements from creating a Coda Account and/or using the Points; and
(d) capable of legally accepting, entering into, and being bound by these Rewards Terms.
2.4. We may require you to set-up a static PIN during registration of your Coda Account, which you will use and enter before each purchase, transaction or top-up. We may also need you to authenticate your transaction via a one-time password (“OTP”) that will be sent to your registered email address or mobile phone number. Coda may impose other authentication requirements if it reasonably deems it necessary to do so.
3. Earning Points, Eligibility, Our Right to Deduct Points, Points Expiry, Points Limits
3.1. You earn Points each time you make purchases of a Qualifying Item on Codashop based on the amount you have spent, in accordance with the earning mechanism set out for the Rewards Territory where you reside (the “Earning Mechanism”) located here.
3.2. Points are earned based solely on the final price of items purchased, excluding delivery charges, processing fees, transaction fees, or any additional fees charged by your selected Payment Channel.
3.3. The Points corresponding to an eligible Codashop purchase (using the Earning Mechanism) will be credited to your Coda Account once that purchase is completed and notified by Coda to you via email or SMS. A purchase is deemed completed when payment through your Payment Channel has been confirmed as charged and the item purchased has been delivered or made available to you via email or SMS save that Coda may deduct Points credited to your Coda Account in the event/to the extent that:
(a) you are later refunded for the purchase through which the original Points were earned;
(b) Points have been credited to you in error; or
(c) Coda determines, acting reasonably, that Points were earned through fraud, abuse, and/or breach by you of these Rewards Terms or the Coda Terms.
3.4. All Points will automatically expire after 45 days from the date on which they are earned. You are responsible for checking the expiration date of your Points. You understand and accept that any Points that remain unredeemed by the expiration date shall be deducted from your Coda Account and shall no longer be usable.
3.5. Coda may impose a limit on the total value of Points stored in your Coda Account or specify transaction limits on the amount of Points earned. This could be due to limitations imposed by Payment Channels or by the relevant monetary authorities, central bank, or relevant regulator in your jurisdiction If a limit is imposed, this will be communicated in the Coda Terms.
4. Redemption Value and Redeeming Points
4.1. The Earning Mechanism for your Rewards Territory (see Section 3.1 above) also sets out the value of each Point credited to your Coda Account (the “Redemption Value”). Once Points are credited to your Coda Account (and subject always to our right to deduct Points as set out in Section 3.3 above), Points may be redeemed when purchasing eligible items through your Coda Account on Codashop, at the stated Redemption Value.
4.2. Points can be redeemed for most items available on Codashop. However, Coda may from time to time remove certain items from eligibility for Points redemption but will only do so if reasonably necessary – for example (but without limitation) because the item is no longer available in the Rewards Territories (or any of them) or the relevant third party publisher has required Coda to do so.
4.3. Subject to redemption eligibility as described in Section 4.2 above, you may make purchases of items on Codashop either in exchange for Points only (if your Points have sufficient Redemption Value) or a combination of Points and another Payment Channel. No further Points will be earned on purchases made using only Points. Purchases made using a combination of Points and another Payment Channel will accrue further Points in accordance with the Earning Mechanism.
4.4. Points redeemed will be deducted against your Points balance once the purchase on Codashop is completed.
5. Additional Rewards and Benefits
5.1. Coda may introduce additional rewards, benefits, bonuses, events, and promotions that you may be eligible to receive or participate in if you use the Points to pay for a purchase on Codashop (“Additional Rewards”).
5.2. These Rewards Terms shall apply to any Points that may be earned or awarded through such Additional Rewards. However, Coda may impose further terms in relation to these Additional Rewards and such terms, if applicable, will be posted on the Coda Sites and/or notified to you before you participate in any such Additional Rewards. We encourage you to read any such terms applicable to Additional Rewards which, in addition to these Rewards Terms, apply to any Additional Rewards.
6. Account Security
6.1. You are responsible for the security of your Coda Account and all consequences resulting from the use or misuse of your Coda Account, PIN, OTP, or other related security credentials except where any misuse results from our failure to exercise reasonable care or skill. You are responsible for the safekeeping of your sign-in details and keeping your Coda Account information private from others.
6.2. We are entitled to assume that any use or purported use of Points using your Coda Account (where your login details have been entered correctly) is authorised by you.
6.3. If there is or has been any fraudulent or unauthorised use of your sign-in details or Coda Account, loss of account access, or any other breach of security, you agree to immediately notify Coda by contacting us through our Help Center. As soon as reasonably practicable, Coda will suspend your Coda Account, investigate your complaint or request, and respond to you. However, Coda is not responsible for any unauthorised use of your Coda Account (or for any losses or other consequences arising from such use) save only where such unauthorised use arises from Coda’s failure to exercise reasonable care and skill.
7. Restricted Activities.
7.1. By participating in the Rewards Programme, you agree that you will not, directly or indirectly
(a) engage in any conduct that breaches Coda’s acceptable use restrictions as set out here and/or any of Coda Terms:
(b) Use the Rewards Programme, the Points, or any of their features in any way not expressly permitted by Coda;
(c) Share your Coda Account details, PIN, or OTP with other persons;
(d) Reproduce, attempt to reproduce, or counterfeit Points or your Points balance;
(e) Interfere with the functioning of the Rewards Programme in any way;
(f) Use the Points in any activity involving sanctioned individuals, entities, or countries;
(g) Violate any applicable law, ordinance, regulation, rule, code, directive, guideline, or policy through your use of the Points or your participation in the Rewards Programme;
(h) Use or control a Coda Account (including your own) that is engaging in any of the foregoing restricted activities; or
(i) Otherwise materially breach these Rewards Terms.
8. Closure or suspension of your Coda Account; Discontinuation of the Rewards Programme
8.1. Coda is entitled to permanently close or suspend your Coda Account or your access to it at any time: (i) for any of the grounds stated here; (ii) for engaging in any of the restricted activities identified in Section 7 above and/or breaching these Rewards Terms in some other material or repeated way; (iii) if necessary to repair, maintain, or improve the functions of the Rewards Programme and/or the Points; or (iv) if Coda ceases offering the Rewards Programme or the Points.
8.2. Unless otherwise provided in these Rewards Terms, if your Coda Account is permanently closed, whether by Coda or by you voluntarily, all unused Points will immediately expire or be revoked/unusable. You acknowledge and agree that you will not be entitled to any compensation for any loss of such unused Points.
8.3. If Coda discontinues the Rewards Programme (which, it is entitled to do at any time), it will (a) notify you of this in advance (unless prevented from doing so for reasons beyond its reasonable control); and (b) following such notice, turn off the ability to earn further Points. You will still be able to redeem already-accrued Points until such time as they expire.
